Terms & Conditions

These terms and conditions ("Terms") apply to participants who engage in the Verifiable Badge Program ("you", "Participant(s)") that is organised by VLAYER LABS LTD (company number 15480811 with registered office is at: 101 New Cavendish Street, 1st Floor South, London, United Kingdom, W1W 6XH) ("vLayer", "we", "us","our").

By participating in the Verifiable Badge Program, claiming or attempting to claim any reward, or otherwise accepting a benefit under the Verifiable Badge Program, you agree to be bound by these Terms, together with our Privacy Policy and Terms of Use, each of which is incorporated herein by reference.

1. Scope

  1. Season 2 of the Verifiable Badge Program enables Participants to complete verification challenges designed to test vlayer's vouch proof generation mechanism for selected banks and payment platforms ("Financial Institution(s)").
  2. As part of these challenges, Participants complete verification steps to demonstrate that vouch can generate valid proofs for the Financial Institutions, including (without limitation) proofs of account ownership.
  3. The Verifiable Badge Program is voluntary and participation does not create any customer, employment or agency relationship with vlayer or any Financial Institution.
  4. We reserve the right to modify, suspend or terminate the Verifiable Badge Program and any reward system at any time.

2. Eligibility

  1. To be eligible for the Verifiable Badge Program Season 2 you must:
    1. be at least 18 years old;
    2. mint and hold a valid Verifiable Badge Program Season 2 vpass in your self-custodied wallet;
    3. connect that wallet to the Verifiable Badge Program; and
    4. hold any required access credentials.
  2. Each wallet may enter once per challenge and participation and any points earned are non-transferable and non-assignable.
  3. Owning a Season 1 badge does not guarantee your entry in the Verifiable Badge Program Season 2.
  4. We reserve the right to refuse, suspend or revoke your participation at our sole discretion for any reason including but not limited to fraud or non-compliance.

3. Completion of Challenges

  1. For the purposes of this Season, a "Successfully Completed Challenge" means a challenge that has been fully and verifiably completed in accordance with the prescribed challenge process and recorded as verified within the Verifiable Badge Program application prior to the snapshot date.
  2. A Successfully Completed Challenge is completed when the following steps occur:
    1. The Participant has accessed the relevant challenge page within the Verifiable Badge Program application and connected a valid digital wallet in order to establish their unique identity and participation credentials;
    2. The connected wallet has been verified as holding the required access credential, being a valid the Verifiable Badge Program Season 2 vpass, necessary to participate in the challenge;
    3. The Participant has initiated the challenge within the Verifiable Badge Program application by selecting the relevant action which triggers the verification flow with vouch;
    4. The Participant has completed all verification steps required by vouch, including any applicable on-chain, off-chain, or web-based actions, and such verification has resulted in the creation of a valid proof confirming that the challenge requirements were satisfied; and
    5. vouch confirms successful proof completion to the Verifiable Badge Program application, including a valid verified-at timestamp, and such confirmation has been received and recorded by vlayer within the system.

4. Rewards

  1. Participants are awarded points for each Successfully Completed Challenge. The number of points may vary by data source and may change throughout the Verifiable Badge Program Season 2.
  2. Participants who have reached Bronze, Silver, Gold or Diamond tiers in Season 1 receive a temporary points multiplier on points earned during the first two weeks of the Verifiable Badge Program Season 2.
  3. Duplicate entries, sybil activity, use of multiple wallets, automation, or any form of manipulation intended to distort results will invalidate your eligibility your participation in the Verifiable Badge Program Season 2.
  4. Employees, contractors, and affiliates of vlayer, as well as persons located in jurisdictions subject to sanctions or prohibitions, will be excluded from participation at our discretion.
  5. You acknowledge and agree that we retain absolute and final discretion regarding any:
    1. eligibility determinations and qualifications;
    2. reward amounts, and timing;
    3. modification, suspension, or termination of the Verifiable Badge Program.
  6. vlayer further reserves the right to add or remove data sources and adjust point values without notice.

5. Compliance

  1. As a condition of participating in the Verifiable Badge Program Season 2, we may request that you complete identity verification, sanctions checks, or other compliance procedures as we determine. We reserve the right to deny, withhold, or claw back rewards in order to comply with applicable law or regulatory guidance.
  2. The Verifiable Badge Program shall be deemed void where prohibited or restricted by law.
  3. Any suspected or actual fraud, bribery, multiple wallet use, automated participation, manipulation, or other misconduct constitutes grounds for immediate disqualification.

6. Intellectual Property

  1. For the purposes of this section, "Intellectual Property Rights" shall mean patents, rights to Inventions, copyright and related rights, trademarks, business names and domain names, rights in get-up, goodwill and the right to sue for passing off, rights in designs, rights in computer software, database rights, confidential information, trade secrets, and all other intellectual property rights, whether registered or unregistered.
  2. All Intellectual Property Rights in and to the Verifiable Badge Program, including vouch, the vouch platform, the vlayer platform, software, website, and related materials, are and shall remain the exclusive property of vlayer and its licensors.
  3. Except as expressly provided in these Terms, no Intellectual Property Rights of either vlayer or any Participant are transferred or licensed as a result of participation in the Verifiable Badge Program.
  4. By posting, submitting, or otherwise making available any content in connection with claiming or participating in the Verifiable Badge Program, you grant us an irrevocable, non-exclusive, worldwide, royalty-free, and perpetual licence to use, reproduce, display, and distribute such content, together with your wallet address, username, or handle, for promotional, reporting, and archival purposes. This licence shall survive termination of the Verifiable Badge Program.

7. Data Protection

  1. For the purposes of this section, the "Data Protection Legislation" shall mean all relevant data protection laws, regulations and rules which may apply to the parties, including but not limited to the UK Data Protection Act 2018, the General Data Protection Regulation 2016/679, and the Privacy and Electronic Communications (EC Directive) Regulations 2003. "Personal Data" and "Sensitive Personal Data" shall mean as defined within the Data Protection Legislation.
  2. By participating in the Verifiable Badge Program, vlayer must process certain Personal Data relating to you, including Personal Data contained within any verification proof generated as part of the challenge.
  3. By accepting these Terms, you acknowledge and agree that vlayer shall process Personal Data relating to you in connection with your participation in Season 2, and that such Personal Data shall be processed securely and in accordance with this Agreement.
  4. The categories of Personal Data that we may process include: name, address, date of birth, telephone number, username, email address, residential address and profile identifiers assigned to you by a Financial Institution.
  5. vlayer will process your Personal Data to:
    1. validate and verify proof generation within the vouch mechanism;
    2. analyse and assess the technical performance and accuracy of the vouch; and
    3. comply with our obligations under these Terms.
  6. vlayer will not access, process, collect or store your login credentials for the Financial Institutions.
  7. Where any such processing occurs, we shall act always in accordance with the Data Protection Legislation and our privacy policy.
  8. If you no longer wish vlayer to process your Personal Data, you may withdraw your consent at any time by contacting [email protected]. Upon withdrawal, vLayer will cease processing your Personal Data contained in the proof data and permanently delete it, unless retention is required by law or regulation.
  9. We will only retain Personal Data only for as long as necessary to achieve the purposes described above or as required by applicable law.

8. Liability and Indemnity

  1. You shall indemnify, defend, and hold harmless vlayer and our officers, employees, and agents (together, the "Indemnified Parties") from and against any and all losses, claims, liabilities, damages, costs, and expenses (including reasonable legal and professional fees) arising out of or in connection with:
    1. any breach of these Terms, applicable law, or regulatory requirement by you;
    2. any negligent, unlawful, reckless, fraudulent, or wilful act, omission of you in connection with their participation in the Verifiable Badge Program Season 2; or
    3. any claim made by a third party arising out of or relating to your participation in the Verifiable Badge Program Season 2.
  2. To the fullest extent permitted by law, vlayer shall not be liable to you for any loss, damage, cost, or expense (whether direct, indirect, consequential, or otherwise) arising out of or in connection with your participation in the Verifiable Badge Program Season 2 or this Agreement.

9. Termination

  1. We reserve the right to modify, suspend, or terminate the Verifiable Badge Program, or any Participant's ability to take part, at any time and for any reason, including but not limited to fraud, abuse, regulatory requirements, technical issues, or business considerations.
  2. Upon termination, all unclaimed or pending rewards may be forfeited at our discretion.
  3. Clauses in these Terms relating to indemnity, liability, intellectual property, governing law, disputes, and any other provisions which by their nature are intended to survive termination and shall remain in full force and effect.

10. General

  1. Force Majeure. Neither vlayer nor any Participant is liable for delays or failures caused by events outside their reasonable control. If disruption continues for more than 14 days, we may suspend or terminate the Verifiable Badge Program.
  2. Variation. These Terms may only be amended by us in writing (including via an updated publication on our website).
  3. Waiver. A delay or failure to enforce any right does not waive it; waivers must be in writing.
  4. Rights and Remedies. Rights under these Terms are cumulative and in addition to rights at law.
  5. Entire Agreement. These Terms constitute the entire agreement between vlayer and the Participant with respect to the Verifiable Badge Program.
  6. Assignment. Participants may not assign or transfer rights under these Terms. vlayer may assign or transfer its rights and obligations.
  7. No Partnership or Agency. Participation does not create any partnership, joint venture, employment, or agency relationship between vlayer and the Participant.
  8. Third Party Rights. No third party has any right to enforce these Terms.
  9. Notices. Communications to vlayer must be sent to [email protected].
  10. Governing Law & Disputes. These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
