The Program is designed exclusively to showcase the technical capabilities of vlayer’s platform to Web3 developers and users of Web3 applications. The sole purpose of the Program is to highlight vlayer’s verifiable data solutions and allow participants to engage with our technology through vpasses (soulbound NFTs) and vbadges.

Non-Transferability

vpasses and vbadges are non-transferable and cannot be sold, exchanged, or gifted to other participants or third parties. They are tied to the wallet address provided during the minting process.

No Secondary Market

vpasses and vbadges are not intended for trading or any secondary market activity. Any attempt to create or enable a secondary market for these digital assets is strictly prohibited.

No Monetary Value

vpasses and vbadges have no monetary or cash equivalent value. They are issued solely for the purpose of demonstrating technical features and should not be interpreted as investments, securities, or assets of financial worth or used for any purpose other than originally intended (including, in particular, outside the scope of the Program and vlayer services).

No Cash Redemption

vpasses and vbadges cannot be redeemed for cash, cryptocurrencies, or other financial instruments.

One vpass Per Individual

Each participant is permitted to mint only one vpass. Attempts to claim more than one vpass are strictly prohibited and considered a violation of these Terms. vlayer reserves the right to block or disqualify any user found attempting to claim multiple vpasses from further participation in the Program.

Sanctions Compliance

vlayer does not allow participation by individuals or wallets on theOFAC sanctions list or other applicable sanctions lists. We reserve the right to conduct sanctions screening and to block wallets flagged as non-compliant. This action may be taken retroactively if compliance violations are identified.

Program Participation Requirements

1. Participants must connect a compatible crypto wallet and provide accurate information during the minting process.
2. By minting a vpass, participants acknowledge and agree to these Terms.
3. Participation in the Program includes access to exclusive content and missions but does not confer ownership or rights beyond those explicitly stated here.

Limited Use Rights

Participants may use vpasses and vbadges solely within the scope of the Program and related vlayer services, such as accessing exclusive content or demonstrating proof of engagement in specific missions.

Eligibility

The Program is open to individuals who meet the eligibility requirements outlined on the Program’s landing page. Participants must comply with all applicable laws and regulations.

Prohibited Activities

Participants are strictly prohibited from engaging in any activities that:

1. Attempt to monetize, sell, or trade vpasses or vbadges.
2. Circumvent the intended flow of participation (e.g., bypassing required steps or validations).
3. Violate intellectual property rights or use Program assets in a misleading or unlawful manner.
4. Attempt to claim more than one vpass or engage in activities that compromise the integrity of the Program.

Compliance Monitoring

vlayer reserves the right to monitor participation for compliance with these Terms and to take appropriate action, including but not limited to, blocking or disqualifying participants who violate these Terms.

Soulbound Nature of NFTs

vpasses and vbadges are soulbound NFTs, meaning they are tied to a single wallet and cannot be transferred, traded, or otherwise moved between wallets.

Verification Mechanisms

Participation in missions and minting of vbadges requires adherence to verification mechanisms, including wallet validation and proof submissions.

By participating in the Program, you agree to the collection and use of your personal information in accordance with our Privacy Policy. This may include the use of your wallet address, email, and other details for Program operations. vlayer may use sanctions screening tools to verify compliance with applicable regulations.

By participating in the Program, you agree to waive and release vlayer from any and all liability, (whether direct or indirect, known or unknown, foreseeable or unforeseeable) associated with your participation in the Program or your holding or use of the vpass. This includes, without limitation, any claims arising out of or relating to:

1. Gas fees, transaction costs, or other expenses incurred during minting or any blockchain-related activities.
2. Loss of access to any wallet or any issues originating from third-party wallet providers.
3. Misuse, unauthorized use, or any other improper handling of vpasses or vbadges.

You acknowledge that participation in the Program is provided on an “as is” basis, without warranties of any kind, express or implied.

vlayer reserves the right to modify, suspend, or terminate the Program at its sole discretion, at any time and without notice. vlayer also reserves the right to block any user, terminate their vpass and access to the Program or any associated vlayer service at its sole discretion, at any time and without notice. Any changes to these Terms will be posted on the Program’s landing page.

These Terms are governed by the laws of England and Wales. Any disputes arising from or in connection with the Program shall be subject to the exclusive jurisdiction of the courts of England and Wales.
